Terms of Service

Welcome to AutoTrust Dealer Alliance LLC (“AutoTrust,” “we,” “us,” or “our”). These Terms of Service govern your use of our website and participation in the AutoTrust Dealer Alliance cooperative. By accessing our website or engaging in membership with AutoTrust, you agree to be bound by these Terms. If you do not agree, please refrain from using our website or services.

1. Services Offered

AutoTrust Dealer Alliance is a dealer-owned cooperative that provides franchise dealers with collective purchasing power, access to exclusive partnerships, and participation in profit distributions. Services and benefits include but are not limited to:

• Confidential financial analysis reports tailored to each dealership
• Access to wholesale pricing on F&I products through our exclusive Allstate partnership
• Annual cash distributions of cooperative profits
• Long-term equity participation in the Alliance (no shares to purchase)
• Comprehensive F&I training, professional marketing resources, and technology platforms to support dealership success
• Ongoing opportunities for input through dealer-led committees and annual member meetings

Certain services may require eligibility, onboarding, or separate membership agreements.

2. Membership, Payment, and Billing

Membership in AutoTrust Dealer Alliance requires completion of the onboarding process and payment of a one-time setup and installation fee, currently $20,000 per dealership group (the same fee applies whether you have one or multiple rooftops). This fee includes training, marketing materials, and technology platform access.

Ongoing operational costs of the cooperative are funded through a transparent, pre-agreed revenue share structure, which is outlined in the membership agreement.

Unless otherwise stated, all fees are non-refundable. Additional terms may apply to specific programs, which will be detailed in the membership agreement or supplemental agreements.

3. Intellectual Property Rights

All content, trademarks, designs, logos, materials, and intellectual property displayed on the AutoTrust Dealer Alliance website are owned by AutoTrust Dealer Alliance LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or use such content without prior written consent.

4. Member Autonomy and Limitation of Liability

AutoTrust Dealer Alliance provides financial, strategic, and purchasing advantages while respecting members’ operational autonomy. Members retain full ownership, control, and management of their dealerships.

AutoTrust Dealer Alliance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data arising out of or relating to the use of our website, services, or cooperative model.

5. Profit Distributions and Equity Participation

Members are entitled to annual cash distributions and equity participation based on their contributions and membership terms. If a member terminates their association with AutoTrust, they will receive their fair share of profit distributions accrued up to the date of termination, in accordance with the membership agreement.

6. Changes to the Terms of Service

We reserve the right to modify these Terms of Service at any time. Updated terms will be posted on our website, and your continued use of the website or membership participation constitutes acceptance of the updated terms.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

8. Additional Membership Terms

Membership participation, financial analyses, and onboarding may be subject to additional terms set forth in your membership agreement. In the event of a conflict between these Terms and the specific membership agreement, the membership agreement shall prevail.
